Logistics Terms of Service

These Terms govern the relationship between GXpanse and any individual or business that registers a logistics or courier partner account on the platform. Please read them carefully before completing your registration. By creating an account and submitting your profile for review you confirm that you have read, understood, and agreed to these Terms in full.

Platform Disclaimer

GXpanse is a marketplace and fulfilment facilitator. We provide the infrastructure, tools, and order flow that connect sellers and buyers with independent logistics and courier providers ("Logistics Partners"). GXpanse is not a courier and does not itself carry, handle, or take possession of any goods.

You operate as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and GXpanse. You are responsible for your own personnel, vehicles, equipment, taxes, and operating costs.

In no event shall GXpanse be liable for any indirect, incidental, or consequential loss arising from your use of the platform, including but not limited to lost income, reputational damage, or data loss, except where prohibited by applicable law.

1. Eligibility

To register as a Logistics Partner on GXpanse you must: (a) be at least 18 years old; (b) have the legal authority and any licences required to operate a logistics or courier service in your jurisdiction; and (c) provide truthful, complete, and current information during registration and verification.

GXpanse reserves the right to reject any registration that does not satisfy these requirements or that we reasonably believe is fraudulent, incomplete, or submitted in bad faith. Your account is created in a PENDING state and only gains operational access after profile review and approval.

2. Your Responsibilities as a Logistics Partner

You are solely and fully responsible for:

(a) Service Accuracy — Your logistics name, public name, coverage areas, contact details, and pricing must be truthful and kept up to date.

(b) Timely Fulfilment — Once you accept a delivery, you must collect and deliver the consignment within the committed handling and delivery window. Repeated late or failed deliveries count against your partner rating.

(c) Status Updates — You must keep each order's milestones current (accepted, picked up, in transit, delivered) so that sellers and buyers can track their consignments accurately.

(d) Care of Goods — You must transport, handle, and store all consignments with reasonable care and keep them secure while they are in your custody.

(e) Legal Compliance — You must comply with all applicable transport, road-safety, licensing, insurance, customs, and import/export laws. Drivers and vehicles must hold valid permits and insurance at all times.

(f) Account Security — You are responsible for maintaining the confidentiality of your account credentials. Any activity carried out under your account is your responsibility.

3. Order Acceptance, Pickup & Delivery

When an order is routed to you, you may accept or decline it. Declining frees the order to be offered to another partner. Once you accept, you commit to fulfilling that delivery under the disclosed terms and within the expected delivery date.

Delivery is confirmed through a secure handshake: the buyer (or recipient) provides a one-time confirmation code (OTP) issued by GXpanse at the point of handover. You must not mark an order as delivered without completing this confirmation. Falsifying, bypassing, or coercing a delivery confirmation is a serious violation of these Terms.

Where a delivery cannot be completed — for example, the recipient is unavailable or the address is incorrect — you must record the outcome accurately and follow the platform's failed-delivery and return process rather than abandoning or disposing of the consignment.

4. Prohibited Items & Conduct

The following are strictly prohibited:

• Knowingly carrying goods that are illegal under the laws of the origin or destination jurisdiction.

• Tampering with, opening, concealing, diverting, or stealing any consignment in your custody.

• Falsifying delivery confirmations, milestones, location data, pickup or delivery times.

• Carrying narcotics, unregulated firearms, ammunition, or other items you are not licensed to transport.

• Demanding payment from buyers or recipients outside the fees agreed and disclosed on the platform.

• Any conduct that artificially inflates ratings, completed-delivery counts, or earnings.

Accounts found in violation may be suspended immediately without prior notice and may be reported to relevant law-enforcement or regulatory authorities.

5. Delivery Fees, Wallet & Payouts

Each delivery carries a fee that is calculated and disclosed before you accept the order. Registering and listing your logistics service on GXpanse is free; GXpanse may apply a platform service fee on completed deliveries, which is disclosed transparently before acceptance.

Earnings from completed deliveries are credited to your wallet. By default a delivery fee is released after the delivery is confirmed and any applicable confirmation period lapses. Where an early fee-release policy applies, the release timing is disclosed in your wallet settings.

Withdrawals from your wallet to a registered bank account are subject to: (a) identity and business verification completion; (b) no open disputes on the relevant orders; and (c) the payout processing schedule set out in your wallet settings.

GXpanse may place a temporary hold on funds where a dispute is open, where unusual activity is detected, or where regulatory obligations require it. You will be notified of any hold and its expected duration.

6. Liability for Goods in Transit

While a consignment is in your custody — from pickup confirmation to delivery confirmation — you are responsible for its safekeeping. You are liable for loss, theft, or damage caused by your negligence, mishandling, or failure to follow reasonable care standards.

You are strongly encouraged to maintain adequate goods-in-transit and third-party insurance. GXpanse does not insure consignments on your behalf and is not liable for loss or damage occurring while goods are in your custody.

7. Disputes, Failed & Returned Deliveries

You agree to participate in good faith in GXpanse's dispute resolution process. GXpanse may mediate between you, the seller, and the buyer but is under no obligation to resolve disputes in any particular manner.

Where a delivery is late, failed, damaged, or lost due to your fault, GXpanse may withhold or recover the corresponding delivery fee from your wallet and, where appropriate, fund a remedy to the affected party from those amounts.

Repeated unresolved disputes, or a pattern that indicates poor service quality, mishandling, or fraudulent conduct, may result in account suspension.

8. Verification & Account Review (KYB)

After your account is approved for operation, you will be required to complete Know Your Business (KYB) verification. This may include submitting business registration documents, government-issued identification, proof of address, vehicle and driver documentation, and insurance certificates.

GXpanse may restrict payouts or operational access until verification is complete. Providing forged, altered, or misleading verification documents will result in account termination and may be reported to the relevant authorities.

9. Account Suspension & Termination

GXpanse may suspend or permanently terminate your account for any of the following reasons: (a) violation of these Terms; (b) sustained low partner ratings or high failed-delivery or dispute rates; (c) irregular or suspicious financial activity; (d) failure to complete identity or business verification within the required period; or (e) any conduct that GXpanse reasonably determines endangers buyers, sellers, the public, or the integrity of the platform.

Where circumstances permit, GXpanse will notify you before suspension and provide an opportunity to respond. In cases involving theft, fraud, illegal activity, or imminent harm, suspension may be immediate.

Upon termination, any eligible wallet balance after fee settlement and open-dispute resolution will be disbursed to your registered bank account within 30 business days, subject to legal holds.

10. Privacy & Data

Your use of GXpanse is also governed by the GXpanse Logistics Privacy Policy, which is incorporated into these Terms by reference. By registering you consent to the collection, processing, and use of your personal, business, location, and operational data as described in that policy.

11. Amendments

GXpanse may update these Terms at any time. Material changes will be communicated via email or a prominent in-platform notice at least 14 days before they take effect. Continued use of the platform after the effective date constitutes your acceptance of the revised Terms.

If you do not agree to any updated Terms, you must cease using the platform and request account closure via your account settings.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising in connection with these Terms that cannot be resolved by GXpanse's internal dispute process shall be submitted to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
