These terms govern your onboarding and management of delivery agents on GXpanse. By adding an agent you confirm you have read, understood, and accepted every clause below.
You (the logistics provider) are solely and fully responsible for every agent you onboard and for all delivery activities, conduct, and omissions of that agent. GXpanse merely provides the platform; it does not employ, supervise, or control your agents.
Each agent acts as your contractor or employee — never as an employee, partner, or representative of GXpanse. You are responsible for any wages, taxes, insurance, equipment, and statutory obligations relating to your agents.
You agree to indemnify, defend, and hold harmless GXpanse, its affiliates, officers, and staff against any claim, loss, liability, damage, theft, injury, fine, or expense (including legal fees) arising out of or connected to any act or omission of your agent — including loss or damage to goods, late or failed delivery, fraud, harassment, accident, or breach of law.
You confirm that all agent identity and verification information you submit (name, contact, ID type, ID number, ID document, coverage areas) is true, current, and lawfully obtained. You are responsible for verifying each agent’s right to work and to operate any vehicle used for deliveries.
You will ensure your agents comply with all applicable laws, road and transport regulations, customs requirements, and GXpanse policies. You are liable for any regulatory breach committed by your agents.
Where live-location tracking is enabled, you confirm you have obtained the agent’s informed consent and that location and personal data are handled in line with applicable data-protection laws. GXpanse processes such data only to facilitate delivery tracking.
GXpanse may suspend, deactivate, or remove any agent or restrict your access where it reasonably suspects fraud, abuse, safety risk, or breach of these terms — without prejudice to your continuing liability for prior agent activity. Deactivated agents are retained in anonymised form solely for audit and dispute resolution.
You bear any and all consequences arising from your agents’ activities. To the maximum extent permitted by law, GXpanse is not liable for any indirect or consequential loss arising from agent conduct, and your acceptance here is a condition of onboarding any agent.
